Enable Business Terms and Conditions
Welcome to the Enable Business Web Site currently accessible at www.enable-sg.com/ (Site). These terms and conditions (Terms) govern all sales of Products or Services by Enable Business to you. By purchasing any Product/Service or making any order you are entering into a legally binding agreement with Enable Business Pte Ltd.
The term ‘Enable Business’ or ‘us’ or ‘we’ refers to the owner of the website whose registered office is 60 Paya Lebar Road, #06-56 Paya Lebar Square Singapore 409051. The term ‘you’ refers to the user or viewer of our website.
In these Terms the following words have the following meanings:
Business Day means any day excluding Saturdays, Sundays and public holidays in Singapore.
GST means any goods and services tax chargeable under the Goods and Services Tax Act (Cap.117A).
Order means any order for Products placed by you through the Site.
S$ means Singapore Dollars.
Enable Business means Enable Business Pte Ltd (UEN 201324947N).
Products means the products (including any installment of the products or any parts of them) which are available for purchase from our physical office, warehouse or website and a Product is any one of them.
Services means intangible products such as accounting services, financial services, consultancy, training, deployment, installation, QuickBooks Account Setup, Data Migration, Book Keeping, Taxation and Tax Planning, QuickHR Account Setup, QuickHR Training and QuickHR Deployment.
2 Contract for sale
2.1 A binding agreement for Enable Business to sell you Products or Services is made on these Terms when Enable Business accepts an Order in accordance with Clause 2.2.
2.2 Each Order placed by you with Enable Business is only confirmed when the order is followed by a Purchase Order or a confirmation of order.
3 Order and Delivery
3.1 By placing an Order, you warrant that you are: (i) legally capable of entering into binding contracts; and (ii) you are at least 18 years old (iii) you are acting on behalf of your respective company/organization to place the order.
3.2 Upon confirmation of payment, Enable Business will process and dispatch the Products to the address that you specify for delivery in the Order or arrange for the ordered training, service or account setup. Enable Business will try to deliver within the quoted time frame but such time frame is an estimate only based on availability, normal processing and delivery companies. Accordingly Enable Business will not be responsible for any delay in delivery.
3.3 You agree that subject to availability of Products or Services, Enable Business reserves the right to deliver the Products in instalments or carry out the installations, setup and training in instalments or batches.
3.4 The Products are at your risk until delivery. Ownership of the Products will only pass to you when Enable Business receives full payment including delivery charges (where applicable).
3.5 Lead time on all our products or services can be up to 45 days. Usually we will be able to produce your goods or services in a shorter time, and recommend that you email us to check current lead times prior to placing your order. In some cases unforeseen circumstances may determine that we are unable meet the agreed time frame, in which case we will attempt to contact you to offer the option of a full refund.
3.6 Hardware and Software – Hardware – No cancellation or refund is allowed once order is placed; Services – charges of 20% of confirmed services will be imposed for any cancellation.
3.7 Any material change from our quotation or customisations required will be separately charged at the rate of S$120.00 per hour or S$1000.00 per work day.
4 Price and Payment
4.1 All prices are specified in S$, and exclude GST and delivery charges for deliveries within Singapore. Delivery of Products to delivery addresses outside of Singapore will attract international shipping charges and may be subject to taxes, customs duties and fees levied by the destination country (Import Fees).
4.2 Prices are subject to change at any time but changes will not affect any Order that Enable Business has accepted.
4.3 You may make payment for Products by:
(i) Internet Banking Transfer (ii) Company Cheque (iii) Cash.
4.4 Late payment will be levied an interest of 4% per month until full payment is received.
4.5 All products or services are sold “as is”. The customer assumes the responsibility for the purchase, and no refunds will be issued.
4.6 All overdue accounts will be suspended until full payment is received, Enable Business has the right to terminate accounts which are overdue for more than 3 calendar months.Where any Service is suspended or terminated, all other Services (whether provided by the by Enable Business or its affiliated partners) which can only be provided through the Service would also be suspended or terminated.
4.7 All Goods remain the property of Enable Business Pte Ltd, until paid for in full.
4.8 Professional services job will be performed during office hours (Monday – Friday 9am – 6pm) excluding weekends and public holidays and additional charges will apply for services performed after these hours, we charge a rate of 1.5 times our daily rate on Saturday and weekday after 6pm, and 2x our daily rates on Sunday and Public Holidays.
5 Defective or Damaged Products and Unfulfilled Services
5.1 Except for Products that are defective or damaged upon delivery to you, all Products cannot be returned or exchanged. Once a service is done it is considered completed and we will assume it meets all requirements until and unless a physical letter is drafted to us or an email to firstname.lastname@example.org telling us otherwise. The letter or the email must be sent within 14 days of the service being rendered or the product installation.
5.2 If you receive a defective or damaged Product, you must notify Enable Business in accordance with Clause 10 within 7 days after the day following the delivery of the Product, after which Enable Business shall have no liability to you. Enable Business obligation to you in respect of such notification will be at its option to: (i) replace any Product that is defective or damaged; or (ii) refund to you the amount paid by you for the relevant Product to the original method of payment.
5.3 Any setup fee collected for the purpose of Configuration, Training, Installation and Deployment of QuickHR and QuickBooks solutions are non-refundable.
6 Liability and Disclaimer
6.1 To the extent permitted by law, Enable Business makes no warranty or representation that any Product will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, or that it will not infringe the rights of third parties.
6.2 Enable Business will not be liable to you for any indirect or consequential loss or damage arising out of any Order, however caused, even if foreseeable.
6.3 Nothing in these Terms excludes or restricts Enable Business liability for death or personal injury caused by its negligence or for any matter for which it would be illegal for it to exclude its liability.
6.4 From time to time, this website may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
6.5 Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
7 Matters out of Enable’s Control
7.1 Enable Business will not be liable or responsible for any failure to deliver Products or Services you ordered that is caused by any event outside its reasonable control (Force Majeure Event).
7.2 Enable Business performance under these Terms is deemed to be suspended for the period that the Force Majeure Event continues, and Enable Business will have an extension of time for performance for the duration of that period.
8. Intellectual Property
8.1 The Products are subject to copyright laws and protection and are sold to you on the basis that you comply with the provisions of any copyright notices thereon and therein. Under no circumstances shall Enable Business be liable to you for any of your actions which are in breach of such copyright laws and provisions.
8.2 You acknowledge that all trade marks, logos and other intellectual property rights used as part of the Site belongs to Enable Business or another party. No person or entity may reproduce or use such trade marks, logos or intellectual property in any manner other than expressly authorized by Enable Business or the relevant third party.
9. Personal Data
9.1 By submitting your personal data to this website, you confirm that you have read and understood the Enable Data Protection Policy and consent to the collection, use or disclosure of the information submitted in accordance with the Enable Data Protection Policy.
9.2 You consent to Enable Business and its related corporations (collectively ‘Enable’), Enable’s agents and Enable’s authorized service providers collecting, using, disclosing and/or processing your personal data, in order to process, facilitate payment for, and deliver your order.
9.3 You confirm and agree that your consents granted herein do not supersede or replace any other consents which you may have previously provided to Enable Business in respect of your personal data, and are additional to any rights which Enable Business may have at law to collect, use or disclose your personal data.
9.4 You agree that Enable Business will hold the Master Admin access to the QuickBooks Online Accounts for billing and account servicing purposes and Enable Business will do its best not to access the clients account file unless permission is given by the client via phone, fax, email or alternatively the clients fills up the help desk ticket at www.enable-sg.com/helpdesk or Enable Business will give its clients 24 hours communication via email before accessing their accounts.
9.5 Enable Business is a ProAdvisor of Intuit Inc and obtains preferential pricing and bulk discounts on its purchases of accounts. You agree not to amend the Billing and Subscription details on the account and to keep all payment details completely confidential.
10.1 All notices shall be given by email to Enable Business Pte Ltd at email@example.com or by post to Enable Business Pte Ltd 60 Paya Lebar Road, Paya Lebar Square #06-56 Singapore 409051. Enable Business may send notices to you at either the email address or postal address you provide at the time that you place the Order. A notice shall be deemed received if sent by post 2 Business Days after posting (exclusive of the day of posting) or if sent by email the day of sending if the email is received in full on a Business Day and on the next Business Day if the email is sent on a non-Business Day.
11. Governing law and Disputes
11.1 Singapore law, without regard to principles of conflict of laws, will govern these Terms.
11.2 In any claim or action by or against you directly or indirectly arising under these Terms, you agree to submit to the jurisdiction of the Singapore courts.
12.1 Enable Business may amend these Terms from time to time by posting revised terms on the Site, which shall apply to all Orders placed after such date.
12.2 If any of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any Term shall be deemed unlawful, void or for any reason unenforceable, then that Term shall be deemed severable from these Terms and shall not affect the validity and enforce ability of the remaining Terms.
12.3 The failure of Enable Business to exercise or enforce any of these Terms shall not constitute a waiver of such right or provision in that or any other instance.
